Qualcomm Strikes Major Amazon AWS Deal For Custom AI Data Center Chips

Qualcomm and Amazon have announced a multi-generational strategic collaboration to co-develop custom AI inference silicon and high-bandwidth optical interconnects for hyperscale data centers. The agreement marks Qualcomm's largest expansion into cloud data center infrastructure to date, pairing its power-efficient processing architecture with Amazon Web Services' cloud fabric.

The deal aims to address two major bottlenecks in hyperscale environments: AI inference energy-efficiency and internal cluster networking speed. The two tech giants will co-design custom neural processing accelerators built specifically for high performance and high efficiency inference, marking Qualcomm's largest hyperscale push since securing its custom AI chip deal with ByteDance.

"As AI workloads grow exponentially—driving unprecedented demand for compute, storage, networking and memory bandwidth, and energy-efficient infrastructure—the collaboration brings together Amazon’s comprehensive, secure, and price-performant AI infrastructure with Qualcomm Technologies’ leadership in power-efficient processing, silicon design and system-level integration," Qualcomm said.

Additionally, Qualcomm is bringing its digital signal processing (DSP) and high-speed SerDes IP to the table, with the two firms co-developing 1.6 terabit-per-second (1.6T) optical interconnects to speed up optical networking across AWS server racks. In exchange, Qualcomm is expanding its reliance on AWS cloud infrastructure—including tools like Amazon Bedrock—to run its internal electronic design automation (EDA) and accelerate future chip design pipelines.

While the co-development news is big on its own, the financial details outlined in Qualcomm’s simultaneous SEC Form 8-K (PDF) filing reveals the actual scale of the deal, and it's massive. Qualcomm issued Amazon an equity warrant to buy up to 25 million shares of common stock at $161.26 per share over the next decade. However, the stock options are structured as a performance-based pay-to-play.

The stock vests in stages tied directly to how much hardware Amazon actually buys. While an initial 3.75 million shares unlocked immediately based on Amazon's starting purchase commitments, Amazon would need to spend up to $60 billion on Qualcomm's server chips, networking gear, and manufacturing services through 2036 to unlock the full 25-million-share haul.
HotHardware's Editor-in-Chief and semiconductor analyst at HotTech, Dave Altavilla, weighed in on the news on X calling this "another major step in Qualcomm's diversification beyond mobile and into the data center," as well as validation of its Alphawave Semi acquisition.

"The net-net is that Qualcomm is assembling compute, custom silicon, memory architecture and connectivity into a much more complete data center platform offering, with major hyperscalers now officially buying into its long-term roadmap", Altavilla said.

Indeed, with up to $60 billion in potential commitments on the line, Qualcomm is positioning itself as a major player in hyperscale AI for the decade ahead. Investors appear to agree, as shares of Qualcomm are up over 5% immediately following the strategic collaboration.
